    The Corporate Counsel 1 provides analysis and guidance on the company’s primary transactional business of selling licenses, hardware and cloud services into public sector markets within the United States. This role will negotiate end user agreements and other public-sector ordering documents between the company and its public sector customers. This role works under general supervision, with latitude to determine and develop approaches and solutions to complex problems. Acts as a company representative internally and externally in this role.


    Essential Functions:

    1. Negotiate end user agreement for software, hardware, support and cloud services.
    2. Provide legal guidance and risk assessments to sales managers.
    3. Learn internal legal team processes and risk assessment standards as well as maintain knowledge base in legal discipline and keep current on legal matters of importance to company’s business.
    4. Maintain detailed and organized files, both paper and electronic.
    5. Perform other legal duties in support of the business and legal team as needed.


    Required Education and Experience:

    • Must have a Juris Doctorate (J.D.) degree and either be an active member of a state bar in good standing, or be willing to accept an offer conditioned upon becoming an active member of a state bar.
    • Minimum of 1 year of legal experience in a government agency, business environment or law firm with focus on contracts in technology-related sales and/or public-sector regulation compliance. Specialized courses in government contracting from an accredited law school will be considered.



    1. Some knowledge regarding the body of law applicable to the business of the company, including but not limited to public sector regulations, licensing and cloud services agreements, and intellectual property knowledge is a plus.
    2. Ability to apply knowledge of the business to an appreciation of financial issues and profit and loss implications.
    3. Excellent analytical, problem solving, negotiation and communication skills.
    4. The ability to work independently and plan, initiate and organize.
    5. Ability to carry out assigned projects to their completion.
    6. Demonstrated attitude of being able to establish and maintain effective working relationships with sales-driven co-workers, prospective customers and IT providers.
    7. Ability to set priorities to various legal tasks and resolve them accordingly.
    8. General knowledge of current trends and practices for reselling software, hardware and cloud services into public sector markets, and a demonstrated interest in learning more about these areas.
    9. Ability to operate a personal computer, with knowledge relevant software, databases and spreadsheet programs.
    10. Demonstrated ability to learn and engage in fast-paced or high-pressure situations with a positive attitude.
